 CTX Terms and Conditions — AI and Data Privacy for Smart City Onboarding

Introduction
Welcome to CTX (“CTX”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your use of the CTX Smart City Platform (“Platform”), including artificial intelligence (“AI”) and data management services (“Services”) for onboarding cities, citizens, and businesses globally. By accessing or using our Services, you agree to these Terms in full.
If you do not agree, do not use the Services.


1. Definitions

  • User: Any city authority, municipal administrator, organization, business, or citizen accessing CTX’s Smart City Services.
  • Smart City Services: AI-driven tools and systems for urban management, citizen engagement, data analytics, digital identity, and onboarding processes.
  • AI Systems: Machine learning, data analysis, automation, and recommendation engines integrated into CTX’s Platform.
  • Personal Data: Any data relating to an identified or identifiable individual, processed for onboarding or Smart City functions.

2. Eligibility

Users must:

  • Have legal capacity to use digital municipal or urban management systems;
  • Comply with all local, national, and international laws for data protection, privacy, and AI governance;
  • Obtain necessary authorizations for onboarding and processing personal data within their area of jurisdiction.

3. Privacy and Data Protection

  • CTX collects and processes User data strictly in accordance with its Privacy Policy, in compliance with data protection laws such as South Africa’s POPIA, the EU General Data Protection Regulation (GDPR), and relevant global frameworks.
  • Data is collected only for specified, explicit, and legitimate purposes related to onboarding and urban management.
  • Users must provide clear consent for the collection and use of their data, and have the right to withdraw consent at any time.
  • CTX implements technical and organizational safeguards to secure personal data against unauthorized access, alteration, or loss.
  • Personal data may be transferred cross-border only with adequate protections and in accordance with applicable legal requirements.

4. AI Ethics and Regulatory Compliance

  • CTX’s AI systems are designed to uphold principles of lawfulness, fairness, transparency, accountability, and non-discrimination.
  • All automated onboarding and decision-making systems provide Users with information about the use and impact of AI, including the right to request human review.
  • Data use and processing for AI/machine learning conform with applicable regulations such as the African Union Data Policy Framework, OECD AI Principles, and other international best practices.
  • Biometric or sensitive data is only processed with explicit and informed consent, and subject to enhanced security controls.
  • Users have the right to access, correct, erase, or port their data, and to object to its processing under applicable laws.

5. Data Subject Rights and Responsibilities

  • Users are responsible for providing accurate, up-to-date personal information for onboarding.
  • CTX upholds all data subject rights as provided by relevant data protection frameworks, including access, rectification, erasure (“right to be forgotten”), restriction of processing, and data portability.
  • Users may contact CTX to exercise these rights, and CTX will respond in a timely manner as required by law.
  • Complaints regarding data use or AI-driven decisions may be escalated to relevant data protection authorities or ombuds services.

6. Cross-border Data Transfers

  • When CTX transfers data outside a User’s jurisdiction, such transfers are conducted in compliance with applicable cross-border data transfer laws (e.g., GDPR, POPIA, global adequacy standards).
  • Standard Contractual Clauses or other recognized safeguards are employed to ensure continued data protection for international Users.

7. Security and Incident Response

  • CTX follows industry-standard security protocols and regularly tests and updates systems to prevent breaches, unauthorized access, and data loss.
  • In the event of a security or data breach affecting personal data, CTX will promptly notify affected Users and relevant authorities as required by law, and take appropriate steps to mitigate any impact.

8. Amendments

  • CTX reserves the right to update these Terms as necessary to reflect changes in laws, AI governance standards, or municipal regulations.
  • Users will be notified of significant updates or changes, and continued use of the Platform constitutes acceptance of the revised Terms.

9. Governing Law and Dispute Resolution

Disputes relating to data protection or AI usage are subject to resolution mechanisms as specified by law, including referral to competent authorities or arbitration processes.

These Terms are governed by the laws of the jurisdiction of South Africa in which CTX is registered, with consideration given to mandatory local data privacy and AI laws applicable to Users.
